CHAPTER 1 – INTRODUCTION
1.1 Welcome
Welcome to Splitt-E.
This Driver Partner Agreement ("Agreement") governs your registration, access to, and use of the Splitt-E Platform as an independent Driver Partner.
By registering as a Driver Partner, creating a Driver Account, accessing the Platform, accepting Bookings, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement, together with all applicable Platform Policies, operational guidelines, and any other documents expressly incorporated by reference.
If you do not agree to this Agreement, you must not register as a Driver Partner or use the Platform.
1.2 About Splitt-E
Splitt-E is a technology-enabled platform that connects Users seeking mobility and parcel delivery services with independent Driver Partners who choose to provide such services.
The Platform enables Driver Partners to:
- Receive Booking requests from Users;
- Accept or decline Bookings at their discretion;
- Navigate to pickup and destination locations using integrated Platform tools;
- Communicate with Users through authorised communication features;
- Access safety, navigation, earnings, and operational tools;
- Manage subscriptions, profiles, and service preferences; and
- Access future services introduced by Splitt-E.
Splitt-E continuously develops and improves its technology and may introduce additional features, products, or services from time to time.
1.3 Nature of the Platform
Splitt-E provides only a digital technology platform.
The Platform facilitates communication and service requests between Users and independent Driver Partners but does not itself provide transportation, logistics, courier, delivery, taxi, or passenger services.
Driver Partners independently perform all transportation or delivery services in their own name and under their own responsibility.
Nothing contained in this Agreement shall be interpreted as making Splitt-E the provider of transportation or parcel delivery services.
1.4 Acceptance of this Agreement
By registering as a Driver Partner, you represent and warrant that:
- you have full legal capacity to enter into binding agreements;
- all information provided to Splitt-E is true, accurate, and complete;
- you satisfy all eligibility requirements applicable to Driver Partners;
- you will comply with this Agreement, Platform Policies, and applicable law;
- you will maintain all licences, permits, registrations, and approvals required to provide mobility or parcel delivery services.
1.5 Amendments
Splitt-E may amend this Agreement where reasonably necessary, including to:
- comply with applicable laws;
- improve Platform functionality;
- enhance operational efficiency;
- strengthen safety and security measures;
- introduce new products or services;
- respond to technological developments.
Revised versions shall become effective upon publication or on the date specified by Splitt-E.
Continued use of the Platform after the effective date constitutes acceptance of the revised Agreement.
1.6 Platform Policies
Driver Partners agree to comply with all Platform Policies issued by Splitt-E from time to time.
Platform Policies supplement this Agreement by establishing operational standards, procedures, technical requirements, safety protocols, subscription rules, and community standards.
Where a Platform Policy conflicts with this Agreement, this Agreement shall prevail unless otherwise required by applicable law.
1.7 Electronic Agreement
This Agreement is concluded electronically.
Electronic acceptance through the Platform has the same legal effect as a handwritten signature, to the extent permitted by applicable law.
1.8 Contact
Questions regarding this Agreement may be submitted through Splitt-E's designated support channels or other official contact methods published on the Platform.
CHAPTER 2 – DEFINITIONS
Unless the context otherwise requires, the following terms shall have the meanings assigned below.
Account means the Driver Partner account created and maintained on the Platform.
Agreement means this Driver Partner Agreement, together with all amendments and documents expressly incorporated by reference.
Applicable Law means all statutes, regulations, governmental orders, judicial decisions, licensing requirements, and other legal obligations applicable to Driver Partners or the Platform.
Booking means a request submitted by a User through the Platform for a mobility or parcel delivery service.
Cancellation Charge means any amount payable under this Agreement or the applicable Platform Policies following cancellation of a Booking.
Driver Partner means an independent individual or legal entity registered and approved by Splitt-E to provide mobility or parcel delivery services through the Platform.
Driver Account means the registered digital account assigned to a Driver Partner for accessing the Platform.
Mobility Service means transportation services independently provided by a Driver Partner to a User through a Booking facilitated by the Platform.
Parcel Delivery Service means collection, transportation, and delivery of parcels independently performed by a Driver Partner through the Platform.
Platform means the Splitt-E mobile application, website, software, APIs, backend systems, digital interfaces, and associated technology services.
Platform Policies means all operational policies, standards, procedures, guidelines, codes of conduct, subscription rules, and technical requirements published by Splitt-E from time to time.
Service Area means geographical locations in which Splitt-E makes the Platform available.
Subscription means a paid or unpaid access plan permitting Driver Partners to use certain Platform features subject to applicable terms.
User means any individual or legal entity using the Platform to request mobility or parcel delivery services.
Words importing the singular include the plural and vice versa.
References to one gender include all genders.
Headings are included solely for convenience and shall not affect interpretation.
CHAPTER 3 – RULES OF INTERPRETATION
3.1 Purpose
This Agreement shall be interpreted fairly, reasonably, and in accordance with its commercial purpose of establishing the contractual relationship between Splitt-E and independent Driver Partners.
3.2 Interpretation Principles Unless the context otherwise requires:
- references to legislation include amendments, re-enactments, subordinate legislation, and successor laws;
- references to policies include future revisions issued by Splitt-E;
- references to the Platform include updates, upgrades, enhancements, and future versions.
3.3 Order of Precedence
In the event of inconsistency, the following order shall apply:
1. Applicable Law; 2. This Driver Partner Agreement; 3. Platform Policies; 4. Operational procedures and technical standards published by Splitt-E.
3.4 Independent Interpretation
No provision of this Agreement shall be interpreted against either party solely because that party prepared or drafted the provision.
Both parties acknowledge that they have had a reasonable opportunity to review this Agreement before accepting it.
3.5 Good Faith Administration
Splitt-E shall administer this Agreement and exercise any contractual discretion reasonably, in good faith, and with due regard to:
- public safety;
- operational integrity;
- fairness;
- platform security;
- legal compliance; and
- the legitimate interests of Users and Driver Partners.
Similarly, Driver Partners shall exercise their rights and perform their obligations honestly, professionally, and in good faith.
3.6 Severability
If any provision of this Agreement is determined by a court or competent authority to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.
3.7 No Waiver
Failure by Splitt-E to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other contractual or legal right.
A waiver shall be effective only if made expressly in writing by an authorised representative of Splitt-E.
3.8 Survival
Any provisions which by their nature are intended to survive termination, including provisions relating to confidentiality, intellectual property, indemnity, limitation of liability, dispute resolution, payment obligations, record retention, and applicable legal rights, shall survive termination of this Agreement.
3.9 Electronic Records
Electronic records maintained by Splitt-E in the ordinary course of operating the Platform, including Booking histories, subscription records, communications, and digital
acknowledgements, may be relied upon as evidence of transactions and interactions, subject to applicable law.
CHAPTER 4 – NATURE OF RELATIONSHIP
4.1 Independent Contractor Relationship
The Driver Partner acknowledges and agrees that this Agreement establishes an independent contractual relationship between Splitt-E and the Driver Partner.
Nothing contained in this Agreement shall be construed as creating an employer-employee relationship, partnership, joint venture, agency, franchise, fiduciary relationship, or any other similar legal relationship between the parties.
The Driver Partner operates an independent business and uses the Platform solely as a means to connect with Users seeking mobility or parcel delivery services.
4.2 Technology Platform Only
Splitt-E is solely a technology platform that facilitates connections between Users and Driver Partners.
Splitt-E does not:
- employ Driver Partners;
- own or operate transportation services;
- provide taxi or courier services;
- supervise or direct the day-to-day operations of Driver Partners;
- guarantee work, income, or bookings.
The Driver Partner independently provides transportation or parcel delivery services directly to Users.
4.3 Freedom to Operate
Subject to compliance with this Agreement and applicable law, the Driver Partner retains complete discretion to:
- determine when to access the Platform;
- determine when to go offline;
- decide whether to accept or decline Booking requests;
- choose working hours;
- determine the duration of Platform use;
- discontinue use of the Platform at any time.
Nothing in this Agreement requires the Driver Partner to provide services during any minimum number of hours.
4.4 No Exclusive Relationship
Unless expressly agreed in writing, the Driver Partner remains free to:
- engage in other lawful occupations;
- operate independent businesses;
- provide services through other technology platforms;
- accept private engagements where legally permissible.
Participation on the Splitt-E Platform is non-exclusive.
4.5 Driver's Business Responsibility
The Driver Partner acknowledges that they operate an independent business and remain solely responsible for:
- acquiring and maintaining suitable vehicles;
- fuel expenses;
- repairs and maintenance;
- insurance;
- permits;
- licences;
- taxes;
- statutory contributions;
- business expenses;
- mobile devices and internet connectivity;
- compliance with applicable transport laws.
Splitt-E shall not reimburse such expenses unless expressly agreed in writing.
4.6 No Employment Benefits
The Driver Partner acknowledges that they are not entitled to employment-related benefits from Splitt-E, including but not limited to:
- salary or wages;
- provident fund;
- gratuity;
- paid leave;
- overtime;
- bonuses;
- employee insurance;
- retirement benefits;
- workers' compensation;
- employee welfare schemes.
4.7 No Authority to Bind Splitt-E The Driver Partner shall not:
- represent themselves as an employee of Splitt-E;
- enter contracts on behalf of Splitt-E;
- make promises or warranties on behalf of Splitt-E;
- incur liabilities in the name of Splitt-E;
- use Splitt-E's name except as authorised under this Agreement.
Any unauthorised representation shall be solely the responsibility of the Driver Partner.
4.8 No Guaranteed Earnings Splitt-E does not guarantee:
- minimum earnings;
- minimum number of Bookings;
- continuous demand;
- profitable operations;
- business success.
The Driver Partner acknowledges that earnings depend on factors including market demand, service quality, availability, pricing, competition, and personal decisions regarding Platform usage.
4.9 Compliance with Law
Nothing in this Agreement relieves the Driver Partner of their independent legal obligations under applicable law.
The Driver Partner remains solely responsible for complying with all legal, regulatory, taxation, licensing, and statutory requirements applicable to the services they provide.
4.10 Mutual Independence
The parties acknowledge that each party conducts its own independent business.
Neither party has authority to direct the internal business operations of the other except to the extent reasonably necessary for:
- operation of the Platform;
- enforcement of Platform Policies;
- user safety;
- fraud prevention;
- legal compliance;
- protection of Platform integrity.
CHAPTER 5 – ELIGIBILITY & ONBOARDING
5.1 Eligibility
To register as a Driver Partner, an applicant shall:
- possess legal capacity to enter into binding agreements;
- satisfy the minimum age prescribed by applicable law;
- possess all licences and permits required by law;
- successfully complete Splitt-E's onboarding process;
- meet Platform eligibility standards.
5.2 Verification Splitt-E may require verification of:
- identity;
- driving licence;
- vehicle registration;
- insurance;
- permits;
- tax registrations;
- address;
- banking details (where applicable);
- any other information reasonably required for Platform operations.
Submission of documents does not guarantee approval.
5.3 Background Checks
Where permitted by applicable law, Splitt-E may conduct or require background verification, criminal record verification, driving history verification, identity authentication, or other reasonable checks.
Approval remains subject to Splitt-E's eligibility requirements and applicable law.
5.4 Onboarding Process The onboarding process may include:
- document verification;
- profile creation;
- vehicle inspection where applicable;
- subscription selection;
- safety training;
- Platform orientation;
- acceptance of legal documents.
Splitt-E may modify onboarding requirements from time to time.
5.5 Continuing Eligibility
Driver Partners shall continuously maintain compliance with all eligibility requirements throughout their use of the Platform.
Failure to do so may result in suspension or termination.
5.6 Duty to Update Information
Driver Partners shall promptly update any changes relating to:
- licences;
- permits;
- insurance;
- vehicle information;
- address;
- contact details;
- banking information;
- legal status;
- any information affecting eligibility.
5.7 Right to Reject Applications
Splitt-E may decline any application where reasonably necessary to:
- protect Platform security;
- prevent fraud;
- comply with legal obligations;
- enforce Platform standards;
- protect Users or Driver Partners.
A rejected applicant shall not acquire any right to registration merely by submitting an application.
5.8 Reapplication
A person whose application has been rejected or whose Driver Account has been terminated may reapply only in accordance with procedures established by Splitt-E.
Acceptance of any subsequent application remains entirely subject to Splitt-E's eligibility review.
CHAPTER 6 – DRIVER PARTNER ACCOUNT
6.1 Account Creation
Following successful onboarding and approval, Splitt-E shall create a Driver Partner Account permitting access to the Platform.
The Driver Account remains the property of Splitt-E and is licensed to the Driver Partner solely for authorised use under this Agreement.
6.2 Personal Responsibility
The Driver Partner is solely responsible for all activity conducted through their Driver Account.
The Driver Partner shall ensure that login credentials remain confidential and secure.
6.3 Security Obligations Driver Partners shall:
- maintain secure passwords;
- protect access credentials;
- avoid sharing login details;
- use authorised devices where reasonably possible;
- immediately report suspected unauthorised access.
6.4 One Account Policy
Unless expressly authorised by Splitt-E in writing, a Driver Partner may maintain only one active Driver Account.
Creation of duplicate, fraudulent, or misleading Accounts is prohibited.
6.5 Accurate Information
The Driver Partner shall ensure that all information associated with the Driver Account remains accurate, current, complete, and truthful.
Splitt-E may request updated information whenever reasonably necessary.
6.6 Account Restrictions
Driver Accounts are personal to the approved Driver Partner.
Driver Partners shall not:
- sell Accounts;
- transfer Accounts;
- rent Accounts;
- share Accounts;
- permit another person to use their Account;
- permit another individual to perform services using their credentials.
6.7 Platform Access
Splitt-E grants the Driver Partner a limited, non-exclusive, non-transferable, revocable licence to access the Platform solely for purposes authorised under this Agreement.
No ownership rights are transferred.
6.8 Suspension of Accounts
Splitt-E may temporarily suspend access where reasonably necessary for:
- investigations;
- fraud prevention;
- document verification;
- safety concerns;
- legal compliance;
- Platform security;
- suspected violations of this Agreement.
6.9 Closure of Account
A Driver Partner may request closure of their Account at any time, subject to:
- settlement of outstanding obligations;
- completion of pending investigations;
- compliance with applicable law;
- any surviving obligations under this Agreement.
6.10 Effect of Closure
Closure or termination of a Driver Account shall not affect:
- accrued rights;
- outstanding payment obligations;
- indemnity obligations;
- confidentiality obligations;
- intellectual property rights;
- dispute resolution provisions;
- any provisions intended to survive termination under this Agreement.
6.11 Digital Records
The Driver Partner acknowledges that Platform records maintained by Splitt-E, including login history, Booking activity, subscription records, communications, and Account information, may be relied upon for operational, contractual, compliance, and evidentiary purposes, subject to applicable law.
CHAPTER 7 – SUBSCRIPTION PLANS & FEES
7.1 Subscription-Based Platform Access
Access to certain features and functionalities of the Platform may require the Driver Partner to subscribe to one of the subscription plans offered by Splitt-E.
The Subscription grants the Driver Partner a limited right to access and use the Platform in accordance with this Agreement and the applicable Subscription Plan. It does not create any ownership, employment, agency, or partnership rights.
7.2 Subscription Plans
Splitt-E may offer one or more Subscription Plans designed to meet different operational or business requirements.
Subscription Plans may vary based on factors including:
- geographical service area;
- category of vehicle;
- duration of the subscription;
- Platform features available;
- promotional programmes;
- business requirements; or
- any other criteria determined by Splitt-E.
Details of available Subscription Plans shall be published through the Platform or communicated through official Splitt-E channels.
7.3 Subscription Fees
The Driver Partner agrees to pay the applicable Subscription Fee for the selected Subscription Plan.
Subscription Fees may be:
- daily;
- weekly;
- monthly;
- quarterly;
- annually; or
- based on any other billing cycle introduced by Splitt-E.
Applicable taxes shall be payable in accordance with law.
7.4 Changes to Subscription Plans
Splitt-E may introduce, modify, replace, suspend, or discontinue Subscription Plans where reasonably necessary for business, operational, technical, commercial, or legal reasons.
Where changes materially affect an existing Subscription Plan, Splitt-E shall make reasonable efforts to notify affected Driver Partners before such changes become effective.
Continued use of the Platform after the effective date of such changes constitutes acceptance of the revised Subscription Plan.
7.5 Renewal
Unless otherwise specified, Subscription Plans do not renew automatically.
Driver Partners are responsible for renewing their Subscription before its expiry if they wish to continue accessing subscription-based Platform features.
Where Splitt-E introduces an automatic renewal option in the future, such renewal shall be subject to the Driver Partner's prior consent and the applicable Subscription terms.
7.6 Suspension Due to Expiry
If a Subscription expires, the Driver Partner's access to subscription-based features may be suspended until a valid Subscription is purchased or renewed.
Splitt-E may continue to permit access to limited Platform functions where operationally appropriate.
7.7 Promotional Offers
Splitt-E may, at its sole discretion, offer promotional pricing, trial subscriptions, discounts, referral incentives, loyalty benefits, or other promotional programmes.
Such promotions:
- are temporary unless expressly stated otherwise;
- may be subject to eligibility criteria;
- may be modified or withdrawn at any time, unless prohibited by applicable law.
Participation in a promotional programme does not create any continuing entitlement.
7.8 Non-Payment
Failure to pay applicable Subscription Fees may result in one or more of the following actions:
- reminder notifications;
- temporary restriction of Platform access;
- suspension of the Driver Account;
- inability to receive new Bookings;
- termination of the Subscription;
- termination of the Driver Partner Agreement where the default is material or persistent.
Splitt-E may exercise these rights reasonably and in good faith.
7.9 Refund Policy
Unless otherwise required by applicable law or expressly provided under the applicable Subscription Plan, Subscription Fees are non-refundable.
However, Splitt-E may, at its sole discretion, provide full or partial refunds, credits, or adjustments in exceptional circumstances, including:
- duplicate payments;
- verified technical errors;
- incorrect billing attributable to Splitt-E; or
- other circumstances where Splitt-E considers such action fair and reasonable.
Nothing in this clause limits any statutory rights available under applicable consumer protection laws.
7.10 Taxes
Driver Partners are solely responsible for complying with their own tax obligations arising from their independent business activities, including any taxes, duties, levies, or statutory contributions applicable to their earnings.
Where Splitt-E is required by law to collect, deduct, withhold, or remit taxes in connection with Subscription Fees, such actions shall be carried out in accordance with applicable law.
7.11 No Guaranteed Business
Payment of a Subscription Fee grants access to the Platform in accordance with the selected Subscription Plan.
A Subscription does not guarantee:
- a minimum number of Bookings;
- minimum earnings;
- continuous Platform availability;
- a specific market share;
- business profitability; or
- exclusive access to Users.
Driver Partners acknowledge that demand for services depends on factors beyond Splitt-E's reasonable control, including market conditions, User demand, competition, location, availability, service quality, and other operational variables.
7.12 Suspension or Discontinuation of Subscription
Services Splitt-E may suspend or discontinue a Subscription Plan where reasonably necessary due to:
- legal or regulatory requirements;
- operational changes;
- technical upgrades;
- fraud prevention;
- security concerns;
- business restructuring; or
- discontinuation of particular services.
Where reasonably practicable, Splitt-E shall provide advance notice of such changes.
7.13 Subscription Records
The Platform shall maintain electronic records relating to Subscription purchases, renewals, expirations, invoices, payment status, and related transactions.
Subject to applicable law, such electronic records shall constitute prima facie evidence of Subscription transactions between Splitt-E and the Driver Partner.
7.14 Subscription Policy
Additional operational requirements relating to Subscription Plans, billing procedures, payment methods, promotional campaigns, grace periods, renewals, and related matters may be governed by a separate Subscription Policy, which forms an integral part of this Agreement.
In the event of any inconsistency, this Agreement shall prevail unless otherwise required by applicable law.
CHAPTER 8 – PLATFORM SERVICES
8.1 Scope of Platform Services
Splitt-E provides a technology-enabled platform that enables Driver Partners to connect with Users seeking mobility and parcel delivery services.
The Platform is designed to facilitate the efficient discovery, acceptance, management, and completion of Bookings while providing operational, communication, navigation, and safety-related features.
Splitt-E continually develops its technology and may enhance, modify, replace, suspend, or discontinue Platform features from time to time.
8.2 Nature of Services
The services provided by Splitt-E are limited to technology and platform-related services, including:
- facilitating Booking requests between Users and Driver Partners;
- providing access to the Driver Partner application;
- enabling digital communication between Users and Driver Partners;
- providing navigation and location-based features;
- offering safety tools and emergency features;
- maintaining Driver Partner profiles;
- providing subscription management;
- providing customer support relating to Platform operations; and
- providing other digital services introduced from time to time.
Splitt-E does not itself provide transportation or parcel delivery services.
8.3 Driver Application
Splitt-E grants approved Driver Partners access to the Driver Application for the purpose of using authorised Platform features.
The Driver Application may include functionalities such as:
- online and offline status management;
- Booking notifications;
- trip management;
- parcel delivery management;
- earnings summaries;
- subscription management;
- account management;
- document uploads;
- safety tools;
- support services; and
- other features introduced from time to time.
8.4 Booking Technology
The Platform uses automated systems and algorithms to facilitate the matching of Users with available Driver Partners.
Splitt-E does not guarantee that every Booking request will be offered to every Driver Partner or that any Driver Partner will receive a particular number of Booking requests.
The criteria used for matching Bookings may evolve over time to improve operational efficiency, safety, service quality, or user experience.
8.5 Communication Services
The Platform may provide communication tools enabling Driver Partners and Users to communicate for legitimate operational purposes, including:
- confirming pickup locations;
- coordinating parcel collection or delivery;
- clarifying trip details;
- addressing operational issues during a Booking.
Driver Partners shall use these communication tools responsibly and solely for purposes related to the requested service.
8.6 Navigation and Location Services
The Platform may integrate mapping, GPS, routing, and location technologies to assist Driver Partners.
Driver Partners acknowledge that:
- navigation guidance is provided for convenience only;
- mapping information may not always be accurate;
- actual road conditions may differ from digital information;
- Drivers remain responsible for selecting safe and lawful routes.
Splitt-E shall not be liable for errors arising solely from third-party mapping services.
8.7 Safety Features
To promote a safer Platform experience, Splitt-E may provide features including:
- ride verification through One-Time Passwords (OTP);
- Safe Reach notifications;
- Community SOS;
- emergency assistance tools;
- trusted contact sharing;
- live trip monitoring;
- incident reporting;
- safety alerts; and
- additional safety technologies introduced in the future.
The availability of specific safety features may vary depending on the service type, device compatibility, geographic location, or technical limitations.
These features are intended to enhance safety but do not eliminate all risks associated with transportation or parcel delivery services.
8.8 Technical Support
Splitt-E may provide reasonable technical assistance relating to:
- Driver Account access;
- Platform functionality;
- Subscription management;
- technical issues;
- document uploads;
- system errors; and
- other Platform-related matters.
Technical support does not extend to vehicle maintenance, business management, personal devices, internet connectivity, or matters beyond Splitt-E's reasonable control.
8.9 Platform Updates
Splitt-E may periodically release updates, upgrades, security patches, bug fixes, new features, or enhancements.
Driver Partners are responsible for maintaining compatible devices and installing updates necessary for the proper functioning of the Platform.
Failure to install required updates may result in reduced functionality or temporary inability to access certain Platform features.
8.10 Third-Party Services
The Platform may rely on third-party providers for services including:
- digital maps;
- GPS and location services;
- cloud hosting;
- telecommunications;
- payment technologies;
- identity verification;
- analytics;
- messaging services; and
- other supporting technologies.
Splitt-E does not control or guarantee the continuous availability, accuracy, or performance of third-party services and shall not be responsible for disruptions arising solely from such services.
8.11 Platform Availability
Splitt-E shall use commercially reasonable efforts to maintain Platform availability.
However, access to the Platform may occasionally be interrupted due to:
- scheduled maintenance;
- emergency maintenance;
- software upgrades;
- internet failures;
- telecommunications disruptions;
- cyber security incidents;
- system failures;
- force majeure events; or
- circumstances beyond Splitt-E's reasonable control.
Temporary interruptions shall not constitute a breach of this Agreement.
8.12 Future Services
Splitt-E may introduce new Platform features, services, products, business models, integrations, subscription plans, or operational tools.
Where the use of new services requires additional contractual terms or policies, Driver Partners shall be required to accept such terms before accessing those services.
Nothing in this Agreement obligates Splitt-E to introduce or continue any particular feature or functionality.
8.13 Platform Policies
Operational procedures governing Platform services, technical standards, feature availability, communication protocols, safety tools, maintenance windows, and support processes may be further described in separate Platform Policies.
Such Platform Policies form an integral part of this Agreement.
8.14 Reservation of Rights
Splitt-E reserves all rights not expressly granted under this Agreement.
Nothing contained in this Chapter shall be interpreted as granting Driver Partners any ownership rights in the Platform, its software, algorithms, databases, trademarks, technology, or other proprietary assets.
CHAPTER 9 – ACCEPTANCE OF BOOKINGS
9.1 Booking Requests
The Platform enables Driver Partners to receive Booking requests submitted by Users for mobility or parcel delivery services.
Booking requests may include information such as:
- pickup location;
- destination or delivery location;
- estimated fare or pricing information, where applicable;
- service category;
- parcel details, where applicable;
- special instructions provided by the User; and
- any other information reasonably necessary to perform the requested service.
The information made available to Driver Partners may vary depending on the service type, Platform functionality, and applicable Platform Policies.
9.2 Independent Decision to Accept
Driver Partners retain full discretion to accept or decline any Booking request made available through the Platform.
Nothing in this Agreement requires a Driver Partner to accept every Booking request.
The decision to accept a Booking remains solely that of the Driver Partner, subject to this Agreement, Platform Policies, and applicable law.
9.3 Formation of a Booking
A Booking is deemed accepted only when the Driver Partner affirmatively accepts the Booking request through the Platform.
Once accepted, the Driver Partner agrees to make reasonable efforts to complete the Booking in accordance with this Agreement, applicable Platform Policies, and applicable law.
9.4 No Guaranteed Bookings Splitt-E does not guarantee:
- receipt of Booking requests;
- a minimum number of Bookings;
- continuous demand;
- equal distribution of Bookings;
- priority access to Users; or
- any particular level of earnings.
The number of Booking requests available to a Driver Partner depends on various operational factors, including User demand, Driver availability, service quality, location, subscription status (where applicable), and other legitimate business considerations.
9.5 Response Time
Driver Partners are encouraged to respond to Booking requests promptly.
Failure to respond within the time displayed on the Platform may result in the Booking request expiring automatically and being made available to another Driver Partner.
9.6 Arrival at Pickup Location
After accepting a Booking, the Driver Partner shall make reasonable efforts to proceed to the designated pickup location without unnecessary delay.
Where unforeseen circumstances prevent timely arrival, the Driver Partner should use the Platform's communication tools, where available, to inform the User.
9.7 User Verification
Before commencing a mobility service or handing over a parcel, Driver Partners should make reasonable efforts to verify the identity of the User or authorised recipient using the verification methods made available through the Platform, including OTP verification where applicable.
Driver Partners shall not knowingly provide services to unauthorised persons where verification requirements have not been satisfied.
9.8 Right to Decline or Cancel
A Driver Partner may decline a Booking before acceptance or cancel an accepted Booking where reasonably necessary, including where:
- the User cannot be located;
- the pickup location is inaccessible;
- there is a genuine safety concern;
- the User engages in abusive or unlawful behaviour;
- the parcel appears unsafe, illegal, or prohibited;
- the information provided is materially inaccurate; or
- circumstances beyond the Driver Partner's reasonable control prevent completion of the Booking.
Driver Partners should avoid unnecessary or repeated cancellations that adversely affect Users or the operation of the Platform.
9.9 User No-Show
Where a User fails to arrive at the designated pickup location within the reasonable waiting period specified in the applicable Platform Policies, the Driver Partner may cancel the Booking in accordance with those Policies.
Cancellation Charges, if applicable, shall be governed by the User Terms & Conditions and the relevant Platform Policies.
9.10 Completion of Services
A Booking shall be considered complete when:
- the User has been transported to the agreed destination;
- the parcel has been delivered to the authorised recipient;
- the Booking is otherwise concluded in accordance with applicable Platform procedures.
Upon completion, the Driver Partner shall accurately conclude the Booking through the Platform.
9.11 Route Selection
Driver Partners shall use reasonable skill and judgment in selecting safe, lawful, and efficient routes.
Navigation tools provided by the Platform are intended for assistance only and do not replace the Driver Partner's responsibility to comply with traffic laws, road conditions, and lawful instructions issued by competent authorities.
9.12 Communication During a Booking
Driver Partners shall communicate with Users in a professional, courteous, and respectful manner.
Communications should be limited to matters reasonably related to the Booking and shall not be used for harassment, solicitation, discrimination, or any unlawful purpose.
9.13 Booking Records
Driver Partners acknowledge that the Platform maintains electronic records relating to Booking requests, acceptances, cancellations, trip details, parcel deliveries, communications, timestamps, and other operational data.
Subject to applicable law, such records may be used for operational purposes, customer support, dispute resolution, fraud prevention, legal compliance, and enforcement of this Agreement.
9.14 Booking Policies
Additional operational procedures relating to Booking allocation, acceptance windows, waiting periods, cancellation processes, pickup protocols, delivery confirmation, and service completion may be governed by separate Platform Policies.
Such Platform Policies form an integral part of this Agreement.
9.15 Good Faith Performance
Driver Partners agree to perform accepted Bookings honestly, professionally, and in good faith, exercising reasonable care, skill, and diligence while delivering mobility or parcel delivery services through the Platform.
Nothing in this Chapter shall be interpreted as limiting the Driver Partner's independent contractor status established under this Agreement.
